1. Acceptance of Terms
By accessing, browsing, or utilizing any services provided by Montrex Technology L.L.C-FZ(hereinafter referred to as "the Company," "we," "us," or "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and all applicable laws and regulations.
If you do not agree with any part of these Terms, you must immediately discontinue use of our services. These Terms constitute a legally binding agreement between you and the Company, governing your access to and use of all services, websites, and digital platforms operated by the Company.
2. Description of Services
Montrex Technology L.L.C-FZ is a technology consultancy registered in the Meydan Free Zone, Dubai, United Arab Emirates. We provide professional services in the following domains:
- Information Technology Consultancy and Advisory Services
- Software Installation, Integration, and Deployment
- IT Security Management and Cybersecurity Solutions
- Artificial Intelligence Research and Innovation Consultancy
The specific scope, deliverables, timelines, and fees for any engagement shall be defined in a separate Statement of Work ("SOW") or Service Agreement, which shall be read in conjunction with these Terms. In the event of any conflict between these Terms and a Service Agreement, the Service Agreement shall prevail to the extent of the inconsistency.
3. Intellectual Property Rights
All intellectual property rights in and to the services, including but not limited to methodologies, frameworks, tools, software, documentation, and proprietary technologies developed or utilized by the Company, remain the exclusive property of Montrex Technology L.L.C-FZ unless explicitly transferred in writing.
"Work Product" developed specifically for a client under a Service Agreement shall be subject to the intellectual property terms specified in that agreement. In the absence of such specification, the Company grants the client a non-exclusive, non-transferable license to use the Work Product for the client's internal business purposes only.
The Company retains all rights to any pre-existing intellectual property, methodologies, tools, and generic components that may be incorporated into client deliverables. The Company may also retain and reuse general knowledge, skills, and experience acquired during the performance of services.
4. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary and confidential information disclosed during the course of engagement. "Confidential Information" includes, but is not limited to, business strategies, technical data, financial information, client lists, and any information marked as confidential or that would reasonably be understood to be confidential.
The obligation of confidentiality shall survive the termination of any engagement for a period of five (5) years, except for information that: (a) becomes publicly available through no fault of the receiving party; (b) was known to the receiving party prior to disclosure; (c) is independently developed by the receiving party; or (d) is required to be disclosed by law.
5. Limitation of Liability
To the maximum extent permitted by applicable law, Montrex Technology L.L.C-FZ shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, data, or other intangible losses, arising out of or in connection with the use of our services.
The Company's total aggregate liability for all claims arising out of or relating to any engagement shall not exceed the total fees paid by the client to the Company under the applicable Service Agreement during the twelve (12) months preceding the claim.
These limitations shall apply regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise, and even if the Company has been advised of the possibility of such damages.
6. Indemnification
You agree to indemnify, defend, and hold harmless Montrex Technology L.L.C-FZ, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of our services; (b) your breach of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement of any third-party intellectual property or other rights.
7. Termination
Either party may terminate an engagement: (a) for convenience upon thirty (30) days' prior written notice; (b) immediately upon written notice if the other party materially breaches these Terms or the applicable Service Agreement and fails to cure such breach within fifteen (15) days of receiving written notice thereof; or (c) immediately upon written notice if the other party becomes insolvent, files for bankruptcy, or ceases operations.
Upon termination, the client shall pay all fees for services rendered through the effective date of termination. Sections relating to intellectual property, confidentiality, limitation of liability, indemnification, and governing law shall survive termination.
8. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates and the applicable laws of the Emirate of Dubai, without regard to its conflict of law provisions.
Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall first be attempted to be resolved through good-faith negotiation between the parties.
If the dispute cannot be resolved through negotiation within thirty (30) days, it shall be referred to and finally resolved by arbitration under the rules of the Dubai International Arbitration Centre (DIAC), which rules are deemed to be incorporated by reference. The seat of arbitration shall be Dubai, UAE. The language of arbitration shall be English.
